These Terms of Service ("Terms") govern your access to and use of Fire Your Agency ("FYA," "Service"), provided by Famcom Labs, Inc., a Delaware corporation ("Company," "we," "us," or "our"). By creating an account, installing the FYA plugin, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.
1. The Service
FYA is a WordPress/WooCommerce plugin and dashboard that uses AI (via the Anthropic Claude API) to automate marketing activities, including but not limited to advertising campaign management (Meta Ads, Google Ads), email/SMS marketing (Klaviyo, SendGrid), and related analytics. The Service requires you to connect third-party accounts and grant API-level permissions for these integrations to function.
2. Eligibility & Account Registration
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and complete registration information.
3. Subscription Plans & Billing
3.1 FYA is offered on a subscription basis across multiple tiers, billed annually by default (currently ranging from $899–$4,750/year) with monthly billing available as an opt-in (currently ranging from $99–$499/month), plus a separately invoiced Managed service at $999/month. Current pricing and tier details are available at https://fireyouragency.net/pricing.html.
3.2 Subscriptions renew automatically for successive billing periods unless canceled prior to the renewal date. You authorize us (or our payment processor) to charge your payment method on file.
3.3 Every paid plan includes a 14-day free trial. A payment method is required to start a trial; if you do not cancel before the trial ends, you will be automatically charged and your subscription will begin. Every paid plan also carries a 30-day money-back guarantee from the date of your first payment; refund requests after that window are granted at our discretion, except as required by law. We may change pricing with at least [INSERT NOTICE PERIOD, e.g., 30 days'] notice; continued use after a price change constitutes acceptance.
3.4 Failure to pay may result in suspension or termination of your access to the Service.
4. Third-Party Integrations
The Service depends on third-party platforms (including but not limited to Meta, Google, Klaviyo, SendGrid, and WooCommerce/WordPress). We are not responsible for the availability, accuracy, security, or policies of these third-party platforms, and your use of them is subject to their own terms. Changes to third-party APIs, policies, or availability may affect or interrupt Service functionality, and we are not liable for such interruptions.
5. AI-Generated Content
The Service uses AI to generate marketing copy, recommendations, and campaign decisions. AI-generated content may contain errors or inaccuracies. You are solely responsible for reviewing and approving any AI-generated content, campaigns, or automated actions before they go live, and for ensuring such content complies with applicable advertising laws, platform policies, and your own brand standards. We do not guarantee any specific marketing outcome, ROI, or performance result.
6. License & Acceptable Use
6.1 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business purposes during your subscription term.
6.2 You agree not to: (a) reverse engineer, decompile, or attempt to extract source code from the Service; (b) resell, sublicense, or provide the Service to third parties without authorization; (c) use the Service to send spam, engage in deceptive advertising, or violate any applicable law or third-party platform policy; (d) interfere with or disrupt the Service's infrastructure; or (e) use the Service to process data you do not have the right to process.
7. Intellectual Property
The Service, including all software, design, and underlying technology, is owned by Famcom Labs, Inc. and its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service. You retain ownership of your store data, content, and creative assets you upload or connect.
8. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information, including data accessed via third-party integrations. By using the Service, you consent to the practices described there.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT OR ANY MARKETING RESULTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAMCOM LABS INC. AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST AD SPEND, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE [INSERT PERIOD, e.g., 12 MONTHS] PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Famcom Labs, Inc. from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (including advertising platform policies or applicable law).
12. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or as necessary to protect the Service or other users. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. [INSERT ARBITRATION CLAUSE HERE IF DESIRED.]
14. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms with a new "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
